(a) to call special meetings of the Members whenever it deems necessary
(b) to appoint, remove and prescribe duties to officers, as necessary
(c) to establish, levy, assess, and collect the assessments referred to in Article IV of the Declaration
(d) to adopt and publish rules and regulations governing the use of the Common Land and facilities and the personal conduct of the Members, Residents and their guests
(a) to keep a complete record of all its acts and corporate affairs
(b) to supervise all officers, agents, and employees of the Association
(c) to fix the amount of the annual assessment against each Lot and/or Living Unit for each assessment period; to prepare a roster of the properties and assessments applicable thereto; to send written notice of each assessment to every Owner subject thereto
(d) to issue upon demand by any person a certificate setting forth conclusive evidence whether any assessment has been paid
(e) to take all measures as necessary to:
The president shall be the CEO of the Association, shall preside at all meetings of the Board of Directors, shall have general and active management of the affairs of the Association and shall see that all orders and resolutions of the Board are carried into effect.
The president shall execute bonds, mortgages and other contracts where not required by law to be otherwise signed and executed and except where the signing and execution thereof shall be expressly delegated by the Board of Directors to some other officer or agent of the corporation.
The vice president shall in the absence or diability of the president, perform the duties and exercise the powers of the president and shall perform such other duties and have such other powers as the Board of Directors may from time to time prescribe.
The treasurer shall have the custody of Association funds and securities and shall keep full and accurate accounts of receipts and disbursements in books belonging to the Association and shall deposit all moneys to the credit of the Association.
The treasurer shall disburse the funds of the Association as may be ordered by the Board of Directors, making proper vouchers for such disbursements, and shall render to the president and the Board of Directors so requires, an account of all transactions as treasurer and of the financial condition of the Association.
The secretary shall attend all meetings of the Board of Directors and record all the proceedings thereof and shall perform like duties of the standing committees, when required. The secretary shall give, or cause to be given, notice of all special meetings of the Board of Directors requiring notice, and shall perform other duties as may be prescribed by the Board of Directors or president.
